These Terms and Conditions (“Terms”) govern your use of services provided by Roman Tech Solutions LLC (“RTS,” “we,” “us,” or “our”), a Pennsylvania limited liability company. By engaging RTS for any service, you agree to be bound by these Terms.

RTS provides technology services to small businesses including but not limited to:

All services are scoped and priced in writing before any work begins. RTS reserves the right to decline or discontinue services at its discretion.

SMS / Text Message Terms

SMS Consent & Opt-Out: By providing your mobile phone number and engaging RTS services, you consent to receive automated SMS notifications related to your service. Reply STOP to opt out at any time. Reply HELP for help. Message and data rates may apply. Consent is not required as a condition of service.

Nature of SMS messages: RTS sends automated SMS notifications to clients for service-related purposes only. These messages may include call summaries, new caller alerts, lead notifications, service status updates, and appointment reminders. RTS does not send marketing or promotional SMS.

Consent: SMS notifications are only sent to clients who have provided explicit consent by supplying a mobile phone number and agreeing to receive text messages as part of the RTS onboarding process or signed service agreement. You are not required to consent to SMS communications in order to receive services from RTS.

Opt-out: You may opt out of SMS communications at any time by:

After opting out, you will receive one final confirmation message. No further SMS will be sent unless you provide new consent.

Message frequency: Varies based on inbound call volume. Typically 1–5 messages per business day.

Costs: Standard message and data rates from your mobile carrier may apply. RTS does not charge a separate fee for SMS notifications.

Supported carriers: SMS service is available on all major US carriers including AT&T, Verizon, T-Mobile, US Cellular, and others. Carrier support is not guaranteed for all networks.

Payment Terms

Monthly recurring services are billed in advance on a monthly cycle. One-time project services are invoiced upon completion unless otherwise agreed in writing. All amounts are in US dollars.

Invoices are due within 15 days of issuance. RTS reserves the right to suspend services for accounts more than 30 days past due.

Cancellation

Monthly recurring services may be cancelled with 30 days written notice to contact@romantechsolutions.net. Setup fees and one-time project fees are non-refundable once work has commenced. No refunds are issued for partial months of service.

Service Level & Availability

RTS makes commercially reasonable efforts to maintain service availability. AI phone bot services depend on third-party infrastructure (including Vapi, Twilio, and Anthropic). RTS is not liable for downtime caused by third-party service outages beyond our control.

Managed IT and on-site services are provided during business hours (Monday–Friday, 9AM–6PM ET and Saturday 9AM–6PM ET) unless otherwise agreed.

Intellectual Property

Upon full payment, clients own the deliverables created specifically for them (websites, custom configurations). RTS retains ownership of proprietary tools, templates, frameworks, and methodologies used in the delivery of services. RTS retains the right to use anonymized project examples for marketing purposes unless the client requests otherwise in writing.

Confidentiality

RTS treats all client business information as confidential. We will not disclose your business information, call data, or operational details to third parties except as required to deliver services (e.g., API providers), required by law, or with your explicit consent.

Limitation of Liability

To the maximum extent permitted by applicable law, RTS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from or related to our services.

RTS’s total cumulative liability for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by the client in the 30 days preceding the event giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless RTS and its principals from any claims, damages, or expenses (including reasonable attorney’s fees) arising from your use of our services in violation of these Terms or applicable law.

Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Philadelphia County, Pennsylvania.

Changes to These Terms

RTS reserves the right to update these Terms at any time. Changes will be posted at this URL with an updated date. Continued use of services after changes constitutes acceptance. Active clients will be notified of material changes.
